1. Definitions

• "Service" refers to the legal services offered by Ngọc Luật, including property documentation, intellectual property registration support, and business legal retainer arrangements.
• "User" / "Client" refers to any individual or entity that contacts us, engages our services, or accesses this website.
• "We" / "Us" / "Our" refers to Ngọc Luật, a legal practice based in Hanoi, Vietnam.
• "Agreement" refers to the engagement letter or scope document signed between Ngọc Luật and a client.
• "Content" refers to all text, documents, and materials available on this website.

2. Acceptance of Terms

By accessing this website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into agreements. Use of this website or submission of an enquiry constitutes acceptance of these Terms. If you do not accept these Terms, please do not use our website or contact us for services.

3. Service Description

Ngọc Luật provides legal services in Vietnam in the areas of property and real estate documentation, intellectual property registration support, and ongoing business legal retainer arrangements. Our services do not cover criminal matters or medical law. Services are available to Vietnamese nationals, foreign nationals, and foreign-invested entities operating in Vietnam. Geographic restrictions may apply to matters requiring local regulatory submissions.

4. User Responsibilities

When using our website or engaging our services, you agree to:

• Provide accurate and complete information when submitting enquiries or engaging our services
• Not misrepresent the nature, scope, or urgency of your matter
• Not use this website for any unlawful purpose
• Not attempt to gain unauthorised access to any part of our systems
• Comply with the terms of any engagement agreement you enter into with us

5. Intellectual Property

All content on this website — including text, structure, and design — is the intellectual property of Ngọc Luật. A limited, non-exclusive, non-transferable licence is granted to access this content for personal, non-commercial use. You may not reproduce, distribute, or modify any content from this website without our prior written consent. Documents prepared by us for clients in the course of an engagement remain the client's property upon delivery and payment.

6. Payment Terms

Our service fees are stated in Vietnamese Đồng (₫) and are set out in the engagement agreement. Payment is due in accordance with the terms stated in that agreement. For fixed-fee engagements, a deposit is typically required before work commences, with the balance payable upon delivery. We accept bank transfer and cash payment at our Hanoi office. Invoices not settled within 30 days of the due date may attract a late payment charge as specified in the engagement agreement.

Refund policy: If an engagement is terminated by the client before completion, fees paid for work already performed are non-refundable. Deposits are non-refundable unless the engagement did not proceed due to our error. We will discuss refund circumstances on a case-by-case basis.

7. Service-Specific Terms

Property Documentation: Our work covers document preparation, review, and verification within the scope agreed. We do not provide legal advice on matters outside the agreed scope without a separate engagement letter. Regulatory outcomes (such as registration approval) are subject to the decisions of the relevant authority and cannot be assured by us.

Intellectual Property Registration: Our engagement covers the preparation and submission stages. Timeline estimates reflect our work only; review periods by NOIP are outside our control. We will communicate updates as received from NOIP.

Business Retainer: The retainer provides access to defined consultation hours and services during a 12-month period. Unused consultation hours do not carry forward. The retainer does not cover litigation or proceedings before courts or tribunals unless separately agreed.

8. Disclaimers

The content on this website is provided for general informational purposes only and does not constitute legal advice. An attorney-client relationship is only formed through a signed engagement agreement. We make no representation that the outcome of any legal matter will be as anticipated, as outcomes depend on factors outside our control, including regulatory decisions and third-party conduct.

9. Limitation of Liability

To the maximum extent permitted by Vietnamese law, Ngọc Luật's liability to any client arising from a service engagement is limited to the amount paid by the client for that specific engagement. We are not liable for indirect, consequential, or incidental losses, or for losses caused by events beyond our reasonable control. This limitation does not apply to liability arising from fraud or wilful misconduct.

10. Termination

Either party may terminate an engagement by written notice, subject to the terms of the engagement agreement. We reserve the right to terminate an engagement where a client has provided materially inaccurate information, where continued engagement would place us in conflict, or where payment obligations have not been met. Obligations that survive termination include confidentiality obligations, intellectual property rights, and payment for work completed.

11. Dispute Resolution

These Terms are governed by the laws of the Socialist Republic of Vietnam. In the event of a dispute, the parties agree to first attempt resolution through direct negotiation. If not resolved within 30 days, disputes shall be referred to mediation before the Vietnam International Arbitration Centre (VIAC), failing which they shall be subject to the jurisdiction of the competent court in Hanoi.

12. General Provisions

These Terms, together with any engagement agreement, constitute the entire agreement between us. If any provision is found unenforceable, the remaining provisions continue to apply. Our failure to enforce any term does not constitute waiver of that right. We may update these Terms; continued use of our website following publication of updates constitutes acceptance.
